We, the named company, are authorizing Metpure Inc., and/or 3rd party business credit verification institutes authorized by Metpure Inc., to obtain credit report, bank reference, and trade reference verifications.

I certify that the named company (the "Applicant") hereby makes application for credit and provides the information contained herein, which is warranted to be true and correct, for the purpose of inducing Metpure Inc. to provide goods and services to it on credit. In consideration thereof, it is agreed and understood that (1) the undersigned is an authorized agent of the Applicant and is duly empowered to enter into and make binding agreements on behalf of the Applicant; (2) the Applicant gives permission to Metpure Inc., and/or 3rd party business credit verification institutes authorized by Metpure Inc., to run all necessary verifications, including, but not limited to, the Applicant's business financial background and credit, trade references, and bank references, as well as the personal credit of any guarantor who authorizes it below, in order to determine the amount and term of credit to extend to the Applicant, if any; (3) all accounts are payable in full within the term from date of invoice, and orders that would take the account balance over its credit limit may require prepayment; (4) a monthly service charge of 1.5% may be charged on all sums past due, or the maximum allowed by law, if lower, and a $25 service charge, or the maximum allowed by law, if lower, applies to any returned payment (NSF or stop payment). Payments may be made by check mailed to Metpure Inc. at 4773 Brooks St., Unit D, Montclair, CA 91763, online through the Applicant's account at metpure.com, or by phone at 714-202-0019; (5) the Applicant shall pay all reasonable costs of collecting past-due amounts, including collection agency fees, and in any arbitration or court proceeding arising from or related to this agreement, the prevailing party shall be entitled to recover its reasonable attorney’s fees and costs; (6) all disputes arising from or related to this agreement between the Applicant and Metpure Inc. (together, the "Parties") must first be submitted to mediation with a mediator selected by the Parties, with such mediation to be held in Los Angeles County, California; (7) if such mediation fails, the dispute shall be resolved by binding arbitration in Los Angeles County, California, under the Commercial Arbitration Rules of the American Arbitration Association; (8) judgment on any arbitration award may be entered in, and the Parties irrevocably submit to the jurisdiction of, any California state court or Federal court located in the County of Los Angeles for that purpose and for any provisional relief pending arbitration; and (9) any credit extended, payment term, or payment methods to the Applicant may be altered, reduced, or eliminated in the event Metpure Inc., in its reasonable discretion, determines that the Applicant’s financial situation or ability to pay is impaired.

Metpure Inc. may pursue me directly without first pursuing the Applicant. This guarantee remains in effect until I revoke it by written notice received by Metpure Inc., and revocation does not affect amounts owed for orders placed before that notice is received. I also authorize Metpure Inc. and the credit agencies it authorizes to obtain my personal consumer credit report to evaluate this application and to review or collect on the account. To the extent permitted by law, I waive notice of acceptance of this guarantee and notice of the Applicant’s default. The dispute, arbitration, and venue terms above apply to this guarantee.
